These Terms of Service (“Terms”) govern your access to and use of the website at www.ozfield.com and related pages, forms, and online tools we operate (collectively, the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. Who we are
The Site is operated by Ozfield Incorporated, an Illinois corporation, which also does business as:
- Ozfield Insurance Agency
- Ozfield Tax Services
- Ozfield Registered Agent Services
We also operate publicly under the brand name Ozfield Insurance & Tax Services. In these Terms, “Ozfield,” “we,” “us,” and “our” mean Ozfield Incorporated and the DBAs and brand name listed above, as applicable to the services you request.
Ozfield is a CPA practice and an insurance agency (one stop shop). Orkun Ozkaymak, CPA, MBA is personally licensed by the Illinois Department of Financial and Professional Regulation (IDFPR) as a certified public accountant. Ozfield is not a registered CPA firm, does not perform assurance or attest services, and is not the CPA licensee. Do not treat staff other than the personally licensed CPA as the CPA.
Insurance services are provided through licensed insurance producers and are subject to applicable licensing and carrier requirements. Ozfield is not a law firm and does not provide legal advice.
2. Website use only — no professional relationship from browsing
Using the Site, reading content, submitting a contact or quote form, chatting with an automated assistant, downloading materials, or viewing service descriptions does not create:
- an attorney-client relationship;
- a CPA-client or accountant-client relationship;
- an insurance broker/agent–client relationship;
- a registered-agent engagement; or
- any other professional, fiduciary, or contractual relationship with Ozfield,
except as formed later under a separate written engagement, application, binder, policy, engagement letter, or other agreement we expressly accept.
Site content is for general information. It is not legal advice, tax advice, insurance advice, or a recommendation tailored to your situation until we have accepted an engagement and, where required, confirmed facts with you.
3. Separate engagements; quotes and estimates
Tax and accounting services, insurance services, business-formation and registered-agent services, and any other offerings described on the Site are separate service lines. Each requires its own engagement process, disclosures, and (where applicable) payment authorization.
Prices, ranges, examples, calculators, and “get a quote” results on the Site are estimates or illustrations only. They are not binding quotes, offers, or guarantees. Final fees, premiums, coverage terms, filing choices, and deliverables require human review and confirmation before any filing, policy bind, payment finalization, or other commitment. We may decline or condition any request.
4. Tax and accounting content
Articles, videos, checklists, and other tax or accounting materials on the Site are educational and general. They are not tax advice for your return, business, or dispute until you and Ozfield enter a tax or accounting engagement and we have the information needed for that engagement. Tax rules change; you remain responsible for your filings and for decisions you make before an engagement is accepted.
Ozfield does not provide audit, review, or other assurance/attest services.
5. Insurance services
Insurance is offered by licensed producers where we are authorized. Coverage is subject to underwriting, carrier approval, eligibility, and the terms of the actual policy. Nothing on the Site binds coverage. A quote request, comparison, or online form is not a binder, policy, or confirmation of coverage. Only a carrier-issued binder or policy (or other written confirmation we expressly provide) creates coverage, subject to its terms, conditions, exclusions, and premiums.
You must provide accurate information. Misstatements can affect coverage and claims. We may share information with carriers, underwriters, and service providers as needed to quote, place, or service insurance.
6. Registered Agent services
Where we offer registered-agent or related entity-support services under Ozfield Registered Agent Services (or another Ozfield name), those services are provided only under a separate engagement and for the term stated in that engagement (typically annual, unless otherwise agreed).
- Your entity remains yours. You (and your entity) remain solely responsible for entity compliance, annual reports, taxes, licenses, beneficial-ownership and other filings, and all legal and tax obligations.
- Mail and service of process. Subject to the engagement terms, we forward service of process and official mail we receive as your registered agent to the contact information you keep on file with us. Forwarding is not legal advice and is not a guarantee of timely receipt by you if your contact details are wrong or outdated.
- Keep contacts current. You must promptly update us with current email, phone, and mailing addresses. Failure to do so may result in missed notices for which we are not responsible.
- Not a law firm. Registered-agent service is not legal representation, not a substitute for counsel, and not an attorney-client relationship. Formation packages and templates (if any) are administrative tools, not legal advice.
7. Accounts, portals, and accuracy
If you use a client portal, secure upload tool, or third-party system we designate (for example, document portals for tax or insurance), you must protect your login credentials and use those systems only as permitted. You are responsible for the accuracy and completeness of information and documents you submit.
8. Acceptable use
You agree not to misuse the Site, including by attempting unauthorized access; scraping or harvesting data in violation of law or these Terms; uploading malware; interfering with Site security or performance; impersonating others; or using the Site for unlawful, harassing, defamatory, or fraudulent purposes.
9. Intellectual property
The Site and its content, design, logos, and materials are owned by Ozfield or its licensors and are protected by intellectual-property laws. “Ozfield,” “Ozfield Incorporated,” “Ozfield Insurance Agency,” “Ozfield Tax Services,” “Ozfield Registered Agent Services,” “Ozfield Insurance & Tax Services,” and related marks and logos are trademarks or service marks of Ozfield Incorporated (or as otherwise designated). You may not use our names or marks without our prior written permission, except for fair nominative reference to our services.
You may view and print Site pages for your personal, non-commercial use related to evaluating or using our services. You may not copy, modify, distribute, or create derivative works from Site content for commercial use without our written consent.
10. Third-party sites and tools
The Site may link to third-party websites, carriers, payment processors, document portals, or tools. We do not control those services and are not responsible for their content, availability, or practices. Your use of them is under their terms and privacy policies.
11. Privacy
How we collect and use information through the Site is described in our Privacy Policy. By using the Site, you also acknowledge that policy.
12. Disclaimer of warranties
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, OZFIELD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT IS COMPLETE, CURRENT, OR SUITABLE FOR YOUR PURPOSES.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OZFIELD AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSED PRODUCERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR RELIANCE ON SITE CONTENT, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR, IF GREATER, THE AMOUNT YOU PAID US SOLELY FOR SITE-RELATED FEES (IF ANY) IN THE TWELVE MONTHS BEFORE THE CLAIM. THIS LIMIT DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER ILLINOIS LAW, AND DOES NOT REPLACE SEPARATE LIMITATIONS THAT MAY APPLY UNDER A SERVICE ENGAGEMENT, POLICY, OR CARRIER CONTRACT.
Professional services, once engaged, are governed by the applicable engagement terms, insurance policy, and law—not by this Site-liability cap alone.
14. Indemnification
You agree to defend, indemnify, and hold harmless Ozfield and its owners, officers, employees, agents, and licensed producers from and against claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your misuse of the Site; (b) your violation of these Terms or applicable law; (c) information or documents you submit that are inaccurate, incomplete, or unlawful; or (d) your infringement of another’s rights.
15. Electronic communications
If you contact us through the Site or provide an email address or phone number, you consent to receive communications from us about your inquiry and our services. Message and data rates may apply. You may opt out of marketing messages as described in those messages or by contacting us; transactional or service messages may still be sent when needed.
16. Governing law and venue
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules. Subject to any arbitration option we later adopt in a published update, you agree that exclusive venue for disputes arising out of or relating to the Site or these Terms lies in the state courts located in Cook County, Illinois, or the United States District Court for the Northern District of Illinois, and you consent to personal jurisdiction there.
17. Changes
We may update these Terms by posting a revised version on this page with a new “Last updated” date. Continued use of the Site after posting means you accept the revised Terms. Material changes may also be highlighted on the Site when practical.
18. Severability; entire agreement
If any provision of these Terms is held unenforceable, the rest remains in effect. These Terms, together with the Privacy Policy and any additional terms posted for a specific Site feature, are the entire agreement between you and Ozfield regarding Site use. They do not modify any separate engagement letter, insurance application, binder, policy, or registered-agent agreement.
